The English version of these Terms is the authoritative version. Translations are provided for convenience only; if there is any conflict, the English text prevails.
1. Who we are and what these Terms cover
Safella ("Safella", the "App", the "Services") is a personal-safety application and website operated by NovaGate Solutions ApS, a private limited company (anpartsselskab) registered in Denmark, CVR no. 45666328, with its registered office at Akademivej 1E, 1. 22, 2800 Kongens Lyngby, Denmark ("NovaGate Solutions", the "Company", "we", "us", "our").
These Terms of Service ("Terms") form a binding agreement between you and the Company and govern your access to and use of Safella. By downloading, installing, creating an account, or otherwise using Safella, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use Safella.
2. Eligibility
You must be at least 16 years old to create an account or use Safella. By using Safella you confirm that you are 16 or older and that you have the legal capacity to enter into these Terms. We may set a higher minimum age where local law requires it.
3. What Safella is — and what it is not
Safella provides tools that are designed to help you feel safer and to assist you in unsafe or uncomfortable situations — including emergency alerts to contacts you choose, location sharing, check-in timers, an AI companion, and evidence capture.
Safella is a support tool, not a safety guarantee. You acknowledge and agree that:
- Safella does not prevent, stop, or reduce crime, violence, accidents, or any other harm, and does not guarantee your safety or the safety of anyone else;
- Safella is not a security service, a bodyguard service, a monitoring or alarm-response service, a medical or mental-health service, or a crisis line;
- Safella is not an emergency service and is not a substitute for the police, ambulance, fire service, or any official emergency service;
- In any emergency or life-threatening situation you must contact your local emergency number immediately (112 in the EU). Safella never contacts emergency services on your behalf and never dials them automatically.
4. Things outside our control
Safella's features — especially alerts, location sharing, and calls — depend on many factors that are outside the Company's control, including: your device and its battery, the permissions you grant (location, microphone, camera, notifications), your mobile network and internet connectivity, GPS signal and accuracy, third-party platforms and providers we rely on (including Apple, Google, Firebase, Google Gemini, and SMS/telecom providers), and — critically — whether the trusted contacts you choose actually receive, see, and respond to an alert.
Because of this, we do not warrant or guarantee that any alert, message, location update, or call will be delivered, delivered on time, accurate, or acted upon. You should not rely on Safella as your only means of getting help.
5. AI features
Safella includes an AI companion that can exchange text messages and simulated voice and video calls. You understand and agree that:
- the companion is artificial intelligence, not a real person, and you are always interacting with a machine;
- AI output can be inaccurate, incomplete, delayed, or inappropriate, and must not be relied upon as factual, professional, legal, medical, or safety advice;
- the AI companion is not a counselor, therapist, crisis line, or emergency service, and must not be used to seek emergency help;
- "video calls" are a simulated visual experience; there is no live AI video presence;
- consistent with the EU AI Act, we clearly inform you when you are interacting with AI.
6. Recording, evidence, and your responsibility
Safella lets you capture photos, audio, and video and store them as evidence. Laws on recording — especially recording other people, audio, or private conversations — vary significantly between countries and regions, and some require the consent of the people being recorded.
You are solely responsible for ensuring that your use of any recording, capture, or evidence feature is lawful where you are and in the circumstances in which you use it. We do not guarantee that any recording will be admissible as evidence in any legal or official proceeding. You agree not to use Safella to record, monitor, or capture anyone unlawfully, and you will indemnify the Company against claims arising from your unlawful use of these features (see §12).
7. Your account and responsibilities
You agree to:
- provide accurate and up-to-date information, including your emergency contacts — inaccurate contact details may cause alerts to fail;
- grant and maintain the device permissions that safety features require; without them, features may not work;
- keep your device functional, charged, and connected as needed for the features you rely on;
- keep your account credentials confidential and remain responsible for activity under your account;
- use Safella only for lawful, personal, non-commercial safety purposes, and never to harass, stalk, defraud, endanger, or harm anyone;
- never misuse the SOS or emergency-alert features and never submit false reports.
8. Community content and conduct
Safella includes community features (the community feed, Safety Map, comments, shared reports, and safe-spot suggestions) where users post content. By posting, you agree to our Community Guidelines and to a strict zero-tolerance policy for objectionable content and abusive behavior. Prohibited content includes harassment, bullying, hate speech, threats or incitement of violence, sexual or explicit material, spam, and content that names, targets, accuses, or identifies a specific real individual. Safella's community is about places and situations, never about reviewing or accusing named people. You are solely responsible for what you post. We review reported content, remove objectionable material, and may suspend or terminate offending accounts.
9. Subscriptions and payments
Some features require a paid subscription ("Safella Extra"). Prices, billing periods, and any free allowances are those shown to you in the App at the time of purchase.
Purchases are made through and processed by the Apple App Store or Google Play, which act as the seller/merchant of record. Billing, renewals, cancellations, and refunds are governed by the store's terms and policies, not by the Company directly. Subscriptions auto-renew unless you cancel through your store account before the renewal date. To cancel, use your Apple or Google account subscription settings.
Where EU consumer law grants you a 14-day right of withdrawal for distance contracts, please note that for digital services you may be asked to consent to immediate performance and to acknowledge that you lose the right of withdrawal once the service begins. Store refund policies apply in addition to your statutory rights.
10. Disclaimers
To the maximum extent permitted by applicable law, Safella is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that Safella will be uninterrupted, error-free, secure, or that defects will be corrected. This section does not exclude any warranty or right that cannot be excluded under the law that applies to you (see §13).
11. Limitation of liability
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. In particular, we do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or intentional misconduct, or for any liability that cannot be excluded or limited under mandatory law (including your non-excludable statutory consumer rights — see §13).
Subject to the paragraph above, and to the maximum extent permitted by applicable law:
- we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to your use of, or inability to use, Safella — including any failure, delay, or inaccuracy of any alert, location update, message, recording, or call; and
- our total aggregate liability to you for all claims relating to Safella in any 12-month period is limited to the amount you actually paid to the Company (or through the app stores for Safella) for the Services in the 12 months before the event giving rise to the claim, or, where you paid nothing, EUR 50.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless the Company and its officers, employees, and agents from any claims, damages, liabilities, and reasonable expenses arising out of your unlawful use of Safella, your violation of these Terms, your content, or your unlawful recording or capture of any person.
13. Your consumer rights
If you are a consumer, nothing in these Terms affects your mandatory statutory rights under the law of your country of residence, including consumer-protection and product-liability rights. Where any provision of these Terms conflicts with a right you cannot waive, that provision applies only to the extent permitted, and the rest of these Terms remains in effect.
14. Privacy
Your privacy matters to us. Our collection and use of personal data — including location data, recordings you make, and usage analytics — is described in our Privacy Policy, which forms part of these Terms by reference. Please read it to understand what we collect, why, how long we keep it, and your rights. Data shared during safety sessions (such as SOS, Walk With Me, and live location sharing) is processed as described in the Privacy Policy.
15. Changes to these Terms
We may update these Terms from time to time. When we make a material change, we will update the version and effective date and ask you to review and accept the updated Terms before you continue using Safella. Your continued use after a non-material update constitutes acceptance of the updated Terms.
16. Suspension and termination
We may suspend or terminate your access to Safella if you breach these Terms, misuse the safety or community features, or where required by law. You may stop using Safella and delete your account at any time. Sections that by their nature should survive termination (including §§6, 10, 11, 12, 13, and 17) will survive.
17. Governing law and disputes
These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. If you are a consumer, you also benefit from the mandatory protections of the law of your country of residence, and this choice of law does not deprive you of them.
If you have a problem, please contact us first at support@safella.dev so we can try to resolve it. If we cannot, you may be entitled to use an alternative dispute resolution (ADR) body. In Denmark, consumers may complain to the Danish Competition and Consumer Authority's Centre for Complaint Resolution (Center for Klageløsning) and, where applicable, the Consumer Complaints Board (Forbrugerklagenævnet). You may also bring proceedings before the competent courts.
